These Terms of Service ("Terms") govern your access to and use of the services, software, applications, websites, portals, installation services, and related offerings (collectively, the "Service") provided by GuruFrame LLC, a Georgia limited liability company ("GuruFrame," "we," "us," or "our").

By creating an account, accessing the Service, installing any GuruFrame software or component, scheduling or receiving an installation, or using any part of the Service, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

GuruFrame provides an AI-powered assistant platform designed for use with Even Realities G2 smart glasses and related devices, together with companion mobile applications, desktop software, a client portal, device management tools, networking components, and optional cloud or local (home) infrastructure.

The Service includes both:

Cloud / Managed options, and
Home / Local setups, in which you primarily own and control your infrastructure, API keys, and data.

Features may include voice-activated AI assistance, multi-model AI support (cloud and local), email and calendar connectivity, secure key management, device management, and Tailscale-based networking.

2. Home / Local Setup Specific Terms

In a Home or Local setup:

You own and control your servers, devices, network, and data to the maximum extent possible.
You own all API keys and third-party accounts. GuruFrame does not own or permanently retain your keys beyond what is required to provide the Service after you explicitly sync them.
You will use the GuruFrame application (mobile and/or computer) to enter API keys, test connections, and perform manual synchronization to your chosen destinations (Home Server, Virtual Server, or other registered devices).
GuruFrame's role is limited to providing software, guided setup, optional installation assistance, and support. We do not take ownership of your keys, hardware, or local infrastructure.
You remain fully responsible for the security, backups, power, internet connectivity, and physical environment of your home or local installation.

3. Installation Services

If you engage GuruFrame for installation assistance (remote or on-site):

Installation services are provided on a best-efforts basis.
You are responsible for providing accurate information about your environment, network, hardware, and access credentials needed for installation.
GuruFrame is not responsible for faulty, defective, or incompatible third-party hardware (including but not limited to smart glasses, rings, computers, servers, networking equipment, or phones). Any hardware issues must be handled through the original manufacturer's or vendor's standard return, warranty, or support process.
GuruFrame is not liable for delays or failures caused by third-party hardware, your network, internet service provider, power issues, or factors outside our reasonable control.
Any physical installation work is subject to separate scheduling and may require additional fees as agreed in writing.

4. Client-Owned API Keys and Third-Party Services (BYOK)

4.1 Bring Your Own Key Model

GuruFrame operates on a Bring Your Own Key / Bring Your Own Account basis. You are solely responsible for creating, securing, and managing your own accounts and API keys with third-party providers (including Anthropic, device services, and others).

4.2 Key Entry and Sync

Keys are entered through the GuruFrame app or computer program.
Keys are first stored locally and securely on the device where entered.
Synchronization to your Home Server, Virtual Server, other devices, or GuruFrame systems occurs only when you explicitly initiate a manual sync and select the destination(s).
You may revoke or delete keys at any time through the provided tools.

4.3 Azure

Azure resources are provided through GuruFrame's Microsoft Cloud Solution Provider (CSP) relationship and are subject to Microsoft's terms in addition to these Terms.

4.4 Third-Party Terms

You must comply with the terms of every third-party service you connect. GuruFrame is not responsible for changes in pricing, availability, data practices, or policies of those providers.

5. Tailscale and Networking

Installation and use of Tailscale (or similar networking components) requires your explicit opt-in consent.
GuruFrame provides an in-app interface to view device status and manage connections (disconnect/remove) where technically supported via the Tailscale API.
You are responsible for understanding the network implications, maintaining device security, and requesting removal of any device that is lost, transferred, or no longer authorized. Upon account termination or request, GuruFrame will assist with removal of devices under its administrative control. You remain responsible for uninstalling software from your own devices.

6. Artificial Intelligence Results — No Liability for Accuracy

AI-generated outputs, recommendations, coaching, summaries, responses, and any other content produced by the Service (whether from cloud models or local models) are provided for informational and assistive purposes only.

GuruFrame makes no warranty or representation regarding the accuracy, completeness, reliability, suitability, or usefulness of any AI-generated result.

You are solely responsible for reviewing, verifying, and deciding whether to rely on any AI output. GuruFrame shall have no liability for any decisions, actions, or omissions made in reliance on AI-generated content.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy.

In Home/Local setups, you maintain greater control over data location. When you choose cloud AI models or sync data/keys, certain information is transmitted to third-party providers or GuruFrame systems as necessary to operate the Service. You retain ownership of your data.

8. Acceptable Use

You agree not to use the Service for unlawful purposes, to attempt unauthorized access, to interfere with the Service, to violate third-party terms, or to process data in violation of applicable laws. GuruFrame may suspend or terminate access for violations.

9. Fees and Payment

Fees are as stated in your order, statement of work, or client portal. Payment is processed through Stripe or other designated processors. You are responsible for applicable taxes. Non-payment may result in suspension or termination.

10. Intellectual Property

GuruFrame and its licensors retain all rights in the Service. You receive a limited license to use the Service during your active subscription. You retain ownership of your data and API keys.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

GURUFRAME DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted or error-free operation. We are not responsible for third-party hardware failures, network issues, or the accuracy of AI outputs.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GURUFRAME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL.

GURUFRAME'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO GURUFRAME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

GuruFrame is not liable for faulty third-party hardware or for any reliance on AI-generated results.

13. Indemnification

You agree to indemnify and hold harmless GuruFrame from claims arising out of your use of the Service, your data, your violation of these Terms or third-party terms, your hardware or network, or your reliance on AI outputs.

14. Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate subject to any active commitments. Upon termination, access ends and GuruFrame will assist with reasonable off-boarding of keys and devices under its control. Surviving provisions remain in effect.

15. Changes to Terms

We may update these Terms. Material changes will be communicated through the Service or by email. Continued use constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Georgia. Disputes shall be resolved in the state or federal courts located in Georgia.
